1. Service Overview

AES Express Services LLC ("AES", "we", "us", or "our") provides time-sensitive courier services, specializing in the transport of medical items such as lab specimens, medical equipment, pharmaceuticals, and confidential healthcare documents. By requesting or accepting services from AES, you ("Client", "Sender", "you", or "your") agree to these Terms of Service.

2. Client Responsibilities

  • Accuracy of Information: You must provide accurate and complete delivery information, including correct contact details and instructions.

  • Permitted Items Only: Transport of illegal, hazardous (unless pre-approved), or restricted items is prohibited. AES reserves the right to refuse any non-compliant delivery.

  • Proper Packaging: All items must be securely packaged by the Client to prevent damage during transport.

3. AES Responsibilities

  • Timely Delivery: AES will make all reasonable efforts to deliver items on time.

  • Compliance: All AES couriers are trained in HIPAA, BBP, and industry safety standards.

  • Confidentiality: AES handles all medical and personal information with strict confidentiality in compliance with applicable laws.

4. Packaging & Item Restrictions

  • Proper Packaging: AES is not liable for damage due to improper packaging.

  • HAZMAT Compliance: Senders are responsible for compliance with 49 CFR Part 172 regarding hazardous materials.

  • Prohibited Items: AES does not transport weapons, illegal items, currency, human remains, or items exceeding 300 lbs (unless pre-approved).

  • Inspection: AES reserves the right to inspect items before acceptance.

5. Liability & Protection

  • Limited Liability: AES's basic liability is capped at $250 per delivery for losses due to driver negligence.

  • Additional Protection: Higher coverage may be purchased with proof of value.

  • Claims: Submit written claims within 3 business days, including documentation and photos.

6. Delays & Force Majeure

AES is not liable for delays due to traffic, weather, road closures, or other uncontrollable events. Clients will be informed promptly of any such delays.

7. Payments & Fees

  • Invoices: Due upon receipt unless otherwise agreed.

  • Late Payments: May incur fees or service suspension.

  • Gig Payments: Billed upon completion. All payments are final unless otherwise noted.

  • Cancellations: Must be made at least 3 hours in advance. Late cancellations incur a $20 or toll fees incurred.

  • No-Shows: If the Client is more than 20 minutes late without contact or 30 minutes late with contact, a $10 fee applies.

  • Payments & Fees maybe waived base on contract agreement

8. Account Suspension & Termination

AES may suspend or terminate accounts due to:

  • Violation of terms

  • Providing false information

  • Repeated Protection Plan claims

  • Use of prohibited items

  • Suspected fraud or misconduct

9. Compliance & Confidentiality

Clients must adhere to applicable laws and regulations, including those governing HAZMAT and PHI. AES ensures its personnel uphold HIPAA and BBP confidentiality standards.

10. Independent Contractors

AES couriers may operate as independent contractors and are not employees unless stated. All are required to meet AES standards and State Law.

11. AES Protection Plan

  • Coverage Limit: Up to $250 unless upgraded.

  • Claim Deadline: Within 5 business days.

  • Reimbursement Basis: AES may reimburse based on:

    • Original purchase price

    • Replacement cost

    • Certified repair estimate

AES does not cover entire sets or machines if only part is lost or damaged.

12. Disclaimers & Limitation of Liability

  • As-Is Service: AES does not guarantee delivery times or item condition beyond standard practice.

  • Exclusions: Not liable for:

    • Indirect or consequential damages

    • Losses exceeding protection plan limits

    • Third-party actions or misconduct

    • Improperly packaged items

  • Maximum Liability: Limited to the lesser of protection plan limit or service fee in the past 6 months.

13. Intellectual Property

All AES materials, including content, systems, and branding, are proprietary and protected. Unauthorized use is prohibited.

14. User Conduct

Clients agree not to:

  • Include prohibited items in shipments

  • Circumvent AES or hire drivers outside the platform

  • Harass or abuse AES personnel

15. General Provisions

  • Terms may be updated without notice. Continued use constitutes acceptance of updates.

  • New York State law governs all disputes.
